By creating an account or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using APX, you represent and warrant that you meet these requirements. Our Services are intended for licensed insurance professionals, agencies, and their authorized representatives.

2. Account Registration

To access most features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Description of Services

APX Intelligence provides a commission intelligence platform for insurance professionals. Our Services include:

• Automated parsing and normalization of carrier commission statements
• Cross-carrier reconciliation and discrepancy detection
• Chargeback tracking and credit correlation
• AI-powered conversational queries about your commission data
• Dashboards, reports, and analytics
• Automated notifications and alerts

We continuously improve our Services and may add, modify, or discontinue features at any time. We will provide reasonable notice of any material changes that affect your use of the platform.

4. Your Data

Ownership

You retain all ownership rights to the data you upload, submit, or transmit through our Services ("Your Data"), including carrier commission statements, transaction records, and any other information you provide. APX does not claim ownership of Your Data.

License Grant

By uploading Your Data, you grant APX a limited, non-exclusive, worldwide license to process, analyze, store, and display Your Data solely for the purpose of providing and improving the Services. This license terminates when you delete Your Data or close your account.

Data Accuracy

You are responsible for the accuracy and legality of Your Data. APX processes commission statements as provided and does not independently verify the accuracy of carrier-issued documents. Our reconciliation and discrepancy detection tools are designed to assist your review, not replace your professional judgment.

5. AI-Powered Features

Our Services include AI-powered features that analyze your commission data and generate insights. You acknowledge that:

• AI-generated outputs are provided as analytical tools and should not be considered financial, legal, or professional advice
• AI analysis is based on the data you provide and may contain errors or inaccuracies
• You are responsible for reviewing and verifying any AI-generated insights before acting on them
• We continuously improve our AI models, which may result in changes to output quality or format

6. Subscription and Payments

Plans and Pricing

Access to certain features requires a paid subscription. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' advance notice to active subscribers.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. You authorize us to charge your designated payment method for all applicable fees.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

Free Tier

We offer a free tier with limited functionality. Free tier usage is subject to the same Terms. We reserve the right to modify or discontinue the free tier at any time.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable regulations
• Upload or transmit any data that you do not have the right to share
• Attempt to gain unauthorized access to any part of the Services or its related systems
• Reverse engineer, decompile, or disassemble any part of the Services

8. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content (excluding Your Data), are owned by APX Intelligence and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

The APX name, logo, and all related trademarks are the property of APX Intelligence, Inc. You may not use our trademarks without prior written consent.

9. Confidentiality

We treat Your Data as confidential and handle it in accordance with our Privacy Policy. We will not access Your Data except as necessary to provide the Services, respond to support requests, or comply with legal obligations.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

APX does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of commission reconciliation results or AI-generated insights. You acknowledge that the insurance commission landscape involves complex carrier-specific rules, and our automated analysis may not capture every nuance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APX INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO APX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless APX Intelligence and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting us. We may suspend or terminate your access to the Services if you violate these Terms or if we determine, in our sole discretion, that such action is necessary to protect the integrity of the Services or other users.

Upon termination, your right to use the Services will immediately cease. You may request an export of Your Data within 30 days of account closure. After this period, we may delete Your Data in accordance with our data retention policies.

14. Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

You agree to resolve disputes on an individual basis and waive the right to participate in a class action or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

16. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or through a notice on the Services at least 30 days before they take effect. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the changes.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and APX regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
